1. Introduction

Welcome to JYVUX-AI ("JYVUX-AI," "we," "us," or "our"), a Kenyan SaaS company founded by Jacton Osara. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and JYVUX-AI Automation governing your access to and use of the JYVUX-AI platform, including our website (https://jyvuxai.co.ke), web application (the merchant dashboard at https://jyvuxai.co.ke/client/login), WhatsApp bot services (jyvux), M-Pesa payment integration, inventory management system, and any other features, tools, or services we provide (collectively, the "Services").

BY REGISTERING FOR, ACCESSING, OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms in their entirety, you must immediately cease accessing and using our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the dashboard. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Platform" — The JYVUX-AI software-as-a-service application, including the client dashboard, WhatsApp bot (Jyvux), API endpoints, and all related tools and infrastructure.
  • "Client" or "Merchant" — Any individual or business entity that registers for and uses our Services to automate their WhatsApp sales.
  • "End Customer" — A natural person who interacts with the Client's WhatsApp bot to inquire about or purchase products or services.
  • "Jyvux" — Our AI-powered chatbot engine that automates sales conversations, payment processing, and customer interactions.
  • "Dashboard" — The secure web-based interface accessible at https://jyvuxai.co.ke/client/login where Clients manage their inventory, orders, bot settings, and analytics.
  • "Daraja API" — Safaricom PLC's M-Pesa Application Programming Interface used for processing mobile money transactions.
  • "WhatsApp Cloud API" — Meta Platforms, Inc.'s business API for WhatsApp message automation.
  • "Conversation" — A unique customer interaction within a calendar month, counted once per customer per day.
  • "Overage" — Conversations exceeding your plan's monthly limit, charged at KES 10 per conversation.

3. Eligibility

To use our Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding contract.
  • If registering on behalf of a business entity, you have the authority to bind that entity to these Terms.
  • You are not located in any country subject to sanctions or embargoes.
  • You have not been previously suspended or removed from using our Services.
  • You own or have legal rights to the WhatsApp phone number(s) you register with our Platform.

4. Account Registration & Security

4.1 Registration Process

To access the Services, you must complete our onboarding registration process, which includes:

  • Providing accurate and complete shop information (name, location, contact details).
  • Providing the WhatsApp phone number to be used as your bot number.
  • Completing Meta's Embedded Signup process to link your WhatsApp number to our Platform via the official WhatsApp Cloud API.
  • Providing your M-Pesa Daraja API credentials (Consumer Key, Consumer Secret, Passkey, and Shortcode).
  • Creating a secure password for your merchant dashboard.

4.2 Account Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your dashboard password and account credentials.
  • All activities that occur under your account.
  • Ensuring that all information you provide is accurate, current, and complete.
  • Immediately notifying us of any unauthorized use of your account at security@jyvuxai.co.ke.

5. Service Description

JYVUX-AI provides a software-as-a-service platform that enables Kenyan businesses to:

  • Automate WhatsApp conversations using our AI bot Jyvux.
  • Process M-Pesa payments directly within WhatsApp chats via Safaricom's Daraja API (STK Push).
  • Manage product inventory with real-time stock tracking.
  • Access sales analytics, revenue reports, and AI-powered business insights.
  • Configure bot behavior, business hours, delivery settings, and automated responses.

Our Services are provided on an "as is" and "as available" basis. We strive for 99.9% uptime but do not guarantee uninterrupted access.

6. WhatsApp & Meta Compliance

You expressly agree to comply with all applicable Meta policies. JYVUX-AI reserves the right to suspend or terminate your account immediately if we determine, in our sole discretion, that your use of the Services violates Meta's policies.

7. M-Pesa Transactions

7.1 Daraja API Integration

Our Platform integrates with Safaricom's Daraja API to facilitate M-Pesa payments. You are responsible for obtaining and maintaining valid Daraja API credentials from Safaricom.

7.2 Transaction Liability

JYVUX-AI acts solely as a technology facilitator for M-Pesa transactions. We are not a payment processor and do not hold or handle customer funds at any point.

8. Subscription & Billing

8.1 Plans and Pricing

We offer the following subscription plans:

  • Basic Plan: KES 6,000 per month, including 1,000 conversations, M-Pesa integration, basic inventory management, and dashboard access.
  • Advanced Plan: KES 8,000 per month, including 1,500 conversations, all Basic features plus AI analytics, payment recovery, image recognition, multi-language support, and priority support.

8.2 Billing Cycle

After your free trial ends, subscriptions are billed monthly in advance. On payment, you receive 30 days of service. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle.

8.3 Payment Methods

We accept subscription payments via M-Pesa (STK Push). All fees are quoted in Kenyan Shillings (KES).

8.4 Refund Policy

Refunds are not provided for partial months of service. If you cancel your subscription, you will retain access to the Services until the end of your current billing period.

9. Free Trial

All new Clients receive a 7-day free trial of their chosen plan. During the trial period, you have access to all features with no payment required. No payment information is required to start the trial.

At the end of the trial period, you must select and pay for a plan to continue using the Services. If you do not pay, your bot will be blocked until payment is received.

We reserve the right to modify or terminate the free trial offer at any time. Only one free trial is permitted per business entity.

10. Overage Charges

Each plan includes a fixed number of conversations per calendar month:

  • Basic Plan: 1,000 conversations per month
  • Advanced Plan: 1,500 conversations per month

Conversations exceeding your plan limit are charged at KES 10 per additional conversation. Overage charges are calculated at the end of each billing period and added to your next subscription payment. You can view your current overage status at any time in your merchant dashboard.

Example: If you are on the Basic Plan (1,000 conversations) and have 1,250 conversations in a month, your next payment will be KES 6,000 (plan) + KES 1,250 (250 overage × KES 10) = KES 8,500 total.

11. Intellectual Property

All intellectual property rights in the Platform are owned exclusively by JYVUX-AI or its licensors. These Terms do not grant you any ownership rights to our intellectual property.

12. User Content

You retain ownership of all content you upload to the Platform. By uploading Your Content, you grant us a worldwide, royalty-free license to host, store, and use Your Content solely for the purpose of providing the Services to you.

13. Prohibited Activities

You agree not to use the Services for any illegal purpose, sell prohibited items, send spam, attempt unauthorized access, or interfere with the integrity of the Services.

14. Privacy & Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to the data practices described in our Privacy Policy.

15. Third-Party Services

Our Services rely on Meta WhatsApp Cloud API, Safaricom Daraja API, Google Gemini API, MongoDB Atlas, and Redis. We are not responsible for the availability or performance of these third-party services.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: JYVUX-AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the total fees paid by you in the six (6) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless JYVUX-AI from and against any claims arising from your use of the Services, violation of these Terms, or violation of any third-party rights.

18. Termination

18.1 Termination by You

You may cancel your subscription at any time through your dashboard. Cancellation takes effect at the end of your current billing period.

18.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or fail to pay subscription fees when due.

18.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. We will permanently delete your account data within 30 days.

19. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notice. Changes become effective 14 days after notice.

20. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute shall be resolved exclusively by the courts of Kenya in Nairobi.
